Terms of Service

1. Acceptance

By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old and able to form a binding contract. By using the Service you represent that you meet these criteria and will comply with all applicable laws, including COPPA.

3. The Service

Modlific is a web platform providing productivity tools, integrations, and automations via web UI and APIs.

4. Accounts

Provide accurate information, keep credentials confidential, and notify us of unauthorised use. You are responsible for activity under your account.

5. Acceptable Use

You will not:

• Violate any law or regulation;
• Infringe intellectual‑property or privacy rights;
• Distribute malware, spam, or obscene content;
• Reverse‑engineer or interfere with the Service;
• Use automated systems to scrape or overload our infrastructure.

We may suspend or terminate accounts for violations.

6. Subscriptions, Billing & Taxes

• Fees are charged in advance on a recurring monthly or annual basis.
• ALL PAYMENTS ARE NON‑REFUNDABLE.
• Prices may change with 30 days' notice; continued use after the effective date constitutes acceptance.
• Plans renew automatically; you authorise us to charge the payment method on each renewal unless cancelled.
• Fees exclude all taxes and duties; you are responsible for any applicable taxes.

You may cancel at any time via the dashboard or by emailing support@modlific.com. Cancellation stops future billing; access continues until the end of the current paid period.

7. Intellectual Property

The Service, its content, and Modlific trademarks are owned by Modlific or its licensors and protected by law. No rights are granted except as expressly stated.

8. User Content

You retain ownership of content you submit. You grant Modlific a worldwide, non‑exclusive licence to host, process, display, and adapt your content solely for operating the Service. You warrant that you have rights to the content you upload.

9. Feedback

You grant Modlific a perpetual, irrevocable, royalty‑free licence to use ideas, suggestions, or feedback you provide for any purpose.

10. Beta Features

Beta or trial features are provided "as is," may be modified or withdrawn at any time, and may be subject to additional terms.

11. Privacy

Our Privacy Policy governs how we collect and process personal data.

12. DMCA & Copyright Policy

Modlific respects intellectual‑property rights. If you believe content infringes your copyright, send a notice to our Designated Agent:

Your notice must comply with 17 U.S.C. § 512(c)(3). We will respond promptly to valid notices and may remove or disable access to infringing material.

13. Export Controls & Sanctions

You may not use the Service in violation of U.S. export or sanctions laws, including transactions involving embargoed countries or restricted parties.

14. Termination

We may terminate or suspend your account immediately for breach of these Terms or legal requirement. Upon termination your licence to use the Service ends and we may delete your content.

15. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

16. Limitation of Liability

To the fullest extent permitted by law, Modlific will not be liable for indirect, consequential, special, or punitive damages, or for loss of profits, data, or goodwill. Our total liability will not exceed the fees you paid Modlific in the 12 months before the claim.

17. Indemnification

You agree to defend, indemnify, and hold Modlific and its affiliates harmless from any claims, damages, liabilities, and expenses arising from your content or breach of these Terms.

18. Binding Arbitration & Class‑Action Waiver

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS under its Streamlined Rules. The arbitration will take place in Salt Lake City, Utah. YOU AND MODLIFIC WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

19. Modification or Discontinuation of Features

We may modify or discontinue features with reasonable notice. If a material change to a paid feature materially diminishes its value to you, you may terminate the affected subscription and receive a pro‑rated refund for the unused portion.

20. Force Majeure

Modlific is not liable for delay or failure to perform due to events beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, government action, or Internet failures.

21. Severability

If any provision is held unenforceable, the remaining provisions remain in effect.

22. Assignment

Modlific may assign its rights and obligations; you may not transfer your rights without our consent.

23. Entire Agreement

These Terms constitute the entire agreement between you and Modlific regarding the Service and supersede prior agreements.

24. Waiver

Failure to enforce any provision is not a waiver of future enforcement.

25. Governing Law & Venue

These Terms are governed by the laws of the State of Utah, USA, without regard to conflict‑of‑law principles. Subject to the arbitration clause, courts in Salt Lake County, Utah have exclusive jurisdiction.
